MGT 641LEC - Commercial Law and Corporate Governance This course examines advanced corporate governance topics, with particular emphasis on the provisions of Sarbanes-Oxley and Dodd-Frank, including federal securities laws. It considers issues arising when businesses seek to operate sustainably, including governance issues. The course also includes an in-depth analysis of the parts of the Uniform Commercial Code (UCC) dealing with negotiable instruments and secured transactions, and an examination of creditors’ rights and bankruptcy. Time permitting, antitrust law and the law regarding trusts and estates is also addressed. Credits: 3
