LAW 900LEC - Venture Financing

This year, this course will be geared to follow-on the Start-Up Law course taught by Matthew Pelky in the first Semester. However, that course is not a pre-requisite and students who did not take that course will not have difficulty with this one. The course will start with a venture capital financing transaction, however, we will move quickly to next step transactions, including public offerings, reverse mergers, and follow-on investments of all types. We will also devote attention to the corporate and business components of later-stage companies that are in the hunt for investment capital. Among other things, we will look at: filing registration statements with the SEC, the SEC review process, examining and implementing internal controls, regulation of publicly traded securities, secondary market options, corporate governance, control fights, and a summary review of certain securities regulations that apply to secondary trading, restricted stock and boards of directors. We also will look at alternative transaction types, including Regulation A offerings and private equity investment in publicly traded companies. Finally, this year we will devote a class to Crowdfunding.
