LAW 967SEM - Selected Issues in International Business Transactions


International Business Transactions is a three-part program. First, students will be assigned required readings to familiarize themselves with certain aspects of the law related to the program of study. Prior to departing for Paris, the students and the professor will meet two to three times in Buffalo (either as a single group or in smaller groups at a mutually agreeable time) to discuss these readings, as well as to discuss expectations relating to the trip abroad. Second, students will participate in the seminar that will be conducted in Paris. During that trip, students will both participate as visitors (to certain legal and cultural institutions in Paris) and as scholars (in class lectures and discussions relating to international corporate transactions). Class lectures and discussions will focus on the intersection of United States law/legal operations and French and European Union law/legal operations in the context of a corporate transaction. Finally, the seminar will conclude in Buffalo with students writing a paper relating to their experience in Paris. In addition, the students and faculty will meet at least once following their trip to Paris to discuss their experience. The term International Business Transactions is extremely broad and could encompass a number of different areas of international law such as tax law, mergers and acquisitions, and international trade. The expectation is to focus on the changes to United States tax law relating to international transactions and the effect of Brexit on such transactions.
